1. Acceptance of Terms

By accessing or using NeuroGen Platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including visitors, registered users, and paying subscribers. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Services

NeuroGen Platform (“NeuroGen”, accessible at neurogen.cc) provides AI document processing, business intelligence, AI agent services, and third-party integrations, including:

• File Processor: Convert documents to AI-ready formats (JSON, JSONL, Markdown)
• Web Scraper: Extract and process web content
• Academic Search: Search and cite academic papers
• Business Intelligence: AI-powered business analysis
• Legal Discovery: Multi-agent document analysis for legal professionals
• AI Agents: Configurable AI agents that can perform tasks on your behalf, including reading, drafting, and sending emails via connected accounts
• Third-Party Integrations: Connect external services (Gmail, Google Workspace, and other APIs) to enable AI agents to act on your behalf
• Playlist Downloader: Download and convert media playlists

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscriptions & Payments

Subscription Tiers: We offer multiple subscription tiers (Starter, Professional, Business, Enterprise) with varying features and limits.

Billing: Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Price Changes: We may change subscription prices with 30 days’ notice. Continued use after price changes constitutes acceptance of new pricing.

Free Trials: Free trials may be offered at our discretion. You may be required to provide payment information. Your subscription will automatically begin at the end of the trial unless cancelled.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Engage in data scraping beyond permitted API limits
• Resell or redistribute the Service without authorization
• Process content that is illegal, defamatory, or harmful
• Circumvent usage limits or security measures

6. AI Agents & Third-Party Integrations

6.1 AI Agent Services

NeuroGen provides AI-powered agents that can perform automated tasks on your behalf. By using AI agent features, you acknowledge and agree that:

• AI agents act based on your instructions and may make errors — you are responsible for reviewing agent outputs before acting on them
• Agent responses are generated by AI models and do not constitute professional advice
• Email drafts prepared by agents require your explicit confirmation before being sent
• You are responsible for all actions performed by agents operating under your account
• Agent interactions (messages, tool calls, responses) are logged for service delivery and may be used to improve the Service

6.2 Google Account Connection

When you connect your Google account to NeuroGen, you grant our AI agents permission to access your Google services (such as Gmail) on your behalf. You understand and agree that:

• AI agents will only access your Google data when you explicitly instruct them to perform a task
• Agents can read email messages, search your inbox, draft emails, and send emails from your Gmail account
• Email sending always requires your explicit confirmation — agents cannot send emails autonomously
• You can revoke Google access at any time from your NeuroGen account settings or from your Google Account permissions page
• NeuroGen’s use of Google data complies with the Google API Services User Data Policy, including the Limited Use requirements

6.3 Third-Party API Integrations

NeuroGen may support additional third-party service integrations (via OpenAPI specifications or other connectors). When you configure a third-party integration:

• You are responsible for ensuring you have authorization to connect and use the third-party service
• API keys and credentials you provide are stored securely but at your own risk
• NeuroGen is not responsible for the availability, accuracy, or actions of third-party services
• Third-party services are subject to their own terms of service and privacy policies

6.4 SMS/Text Messaging

NeuroGen offers an optional SMS notification program. By providing your phone number and opting in during registration, you agree to receive text messages from NeuroGen. Key terms:

• Consent is voluntary — SMS opt-in is not required to use our platform or purchase any services
• Message types: Account alerts, appointment reminders, service updates, and follow-up communications
• Frequency: Message frequency varies; typically 1–10 per month
• Costs: Message and data rates may apply based on your carrier plan
• Opt-out: Reply STOP to any message to unsubscribe at any time
• Help: Reply HELP to any message or contact support@neurogen.cc
• NeuroGen and mobile carriers are not liable for delayed or undelivered messages

7. Intellectual Property

Our Property: The Service, including all software, designs, text, and graphics, is owned by NeuroGen and protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.

Your Content: You retain ownership of content you upload. By using our Service, you grant us a limited license to process your content as necessary to provide the Service.

Output: You own the output generated by processing your content through our Service, subject to any third-party rights in the original content.

8. Data & Privacy

Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your data.

Data Processing: We process your data only as necessary to provide the Service. We do not sell your personal information to third parties.

Data Retention: Processed files are automatically deleted after 24 hours unless you choose to save them to your account storage.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or completeness of AI-generated analysis
• Uninterrupted or error-free operation
• Security of data transmissions

AI Limitations: Our AI features provide analysis and suggestions, not professional advice. Users should verify AI outputs and consult qualified professionals for legal, financial, or medical decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROGEN SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

11. Termination

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your access for violations of these Terms, non-payment, or at our discretion with reasonable notice.

Effect of Termination: Upon termination, your right to use the Service ceases. You may export your data before termination. We may retain certain information as required by law.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
